Welcome to Digital Tales. These Terms and Conditions ("Terms") govern your use of our website located at https://digitaltales.in ("Site") and any design, development, branding, or marketing services purchased from us.

By accessing our Site or engaging us for a creative project, you agree to comply with and be bound by these Terms. If you disagree with any part of these terms, please discontinue using our website and services.

1. Services & Scope of Work

Digital Tales provides professional digital services, including UI/UX Design, Web Development, Social Media Marketing, Branding, Video Editing, and SEO.

• Project Scope: Services provided are strictly limited to the deliverables explicitly specified in your custom Project Proposal, Invoice, or Service Agreement.
• Scope Creep: Any requests for additions, revisions, or edits outside the initial signed agreement will be billed as separate service add-ons at our current hourly or flat rates.
• Timelines: Estimated deadlines are provided in good faith. Our delivery timelines depend heavily on prompt feedback, revisions, and materials supplied by the client.

2. Payments, Deposits, & Billing

By commissioning a project with us, you agree to our standard payment terms:

• Advance Deposits: A non-refundable advance deposit (usually 50% of the total estimate, unless agreed otherwise) is required to schedule and begin work.
• Milestone Payments: Payments scheduled alongside specific milestones must be cleared to initiate the next phase of the project.
• Final Delivery: The final balance must be paid in full before codebases, domain pointers, graphic assets, or final design handovers are delivered.

3. Intellectual Property Rights

Ownership and usage rights of creative resources are handled as follows:

• Client Ownership: Upon complete settlement of all dues and invoices, ownership and copyright of the final deliverables (designs, codebase, and completed assets) are transferred to the client.
• Portfolio Showcase: Digital Tales reserves the right to present completed mockups, web screens, and live URL previews within our portfolio, case studies, and social channels for promotional use, unless restricted by a mutually signed Non-Disclosure Agreement (NDA).
• Third-Party Components: Our custom websites or services may utilize third-party plugins, platforms (e.g., Shopify, WordPress), or stock resources. Ownership of those modules is governed by their respective licensors' terms.

4. Client Responsibilities

To successfully deliver your project, your cooperative involvement is necessary:

• Assets & Information: You are responsible for supplying all necessary copy direction, brand style books, high-resolution imagery, and backend credentials on time.
• Timely Approvals: Review requests and revision feedback must be provided within reasonable timeframes. Unresponsive projects (longer than 14 business days) may be paused, archived, or subject to restart fees.

5. Cancellations & Terminations

Either party may terminate a project contract if a mutual agreement cannot be sustained, subject to these terms:

• In the event of cancellation, the client remains responsible for all work completed and hours logged up to the official termination notice date.
• All intermediate draft creations, design options, wireframes, and raw assets remain the property of Digital Tales unless the project is fully finalized and paid for.

6. Limitation of Liability

Digital Tales, its founders, and contractors are not liable for incidental, indirect, or consequential damages:

• We are not responsible for website downtime, server outages, hosting interruptions, or bugs arising from third-party themes, Shopify apps, or core platform updates post-handover.
• We cannot guarantee absolute search engine rankings (SEO), specific lead volumes, or revenue generation figures, as these rely heavily on market conditions and external algorithm changes.

7. Governing Law & Jurisdiction

These Terms and your engagement with Digital Tales shall be governed by and construed in accordance with the laws of India. Any legal dispute, action, or claim arising from these Terms will be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra, India.
